1. Acceptance of Terms

By accessing or using the Developia marketplace at build.aidevelopia.com ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform. Developia reserves the right to update these terms at any time, and your continued use of the Platform constitutes acceptance of any changes.

2. Description of Service

Developia is a curated developer marketplace that connects vetted developers with clients seeking technical talent for Web3, AI, and modern web projects. The Platform facilitates introductions, project matching, and engagement management between developers and clients.

3. User Accounts

To access certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update your information as necessary. Developia reserves the right to suspend or terminate accounts that violate these terms.

4. Developer Terms

Developers who join the Platform agree to provide accurate information about their skills, experience, and availability. Developer profiles are publicly visible on the marketplace. Developia reviews all developer applications and reserves the right to accept or reject any application at its sole discretion. Developers may be removed from the Platform for inactivity, misrepresentation, poor performance, or violation of these terms.

5. Client Terms

Clients who submit project inquiries or hire developers through the Platform agree to provide accurate project descriptions, timelines, and budget information. Clients are responsible for timely payment according to the agreed engagement terms (hourly, project-based, or retainer). Developia facilitates the matching and introduction process but is not a party to the working agreement between client and developer.

6. Fees and Payment

Developia charges a platform fee on all engagements facilitated through the marketplace. This fee is included in the rates displayed on the pricing page. Payment terms, schedules, and methods are agreed upon between the client and developer at the start of each engagement. Developia is not responsible for payment disputes between clients and developers, though we will make reasonable efforts to mediate.

7. Intellectual Property

Unless otherwise agreed in writing, all code, designs, and deliverables produced during a client engagement belong to the client upon full payment. Developers retain the right to showcase completed work in their portfolio unless the client requests otherwise. The Developia name, logo, and branding are the property of Developia and may not be used without permission.

8. Confidentiality

Both developers and clients agree to maintain the confidentiality of any proprietary information shared during project discussions and engagements. This includes but is not limited to business plans, technical specifications, source code, and customer data. Specific confidentiality terms may be established through separate Non-Disclosure Agreements.

9. Guarantees and Refunds

Developia offers a 48-hour matching guarantee, a quality guarantee on deliverables, and a replacement guarantee within the first week of engagement. Refund eligibility is assessed on a case-by-case basis. Disputes should be reported to the Developia team within 14 days of the issue arising.

10. Prohibited Conduct

Users of the Platform may not misrepresent their identity, skills, or qualifications. Circumvent the Platform to avoid fees after an introduction has been made. Use the Platform for any unlawful purpose. Harass, abuse, or threaten other users. Attempt to gain unauthorized access to the Platform or its systems. Scrape, data-mine, or otherwise extract data from the Platform without permission.

11. Limitation of Liability

Developia provides the Platform "as is" and makes no warranties, express or implied, regarding the quality of developers, project outcomes, or uninterrupted service. To the maximum extent permitted by law, Developia shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

12. Termination

Either party may terminate their use of the Platform at any time. Developia reserves the right to suspend or terminate any account that violates these terms. Upon termination, your profile will be removed from the public marketplace. Obligations arising from existing engagements survive termination.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms or your use of the Platform shall be resolved through good-faith negotiation before pursuing formal proceedings.
